1 These terms and conditions apply to any work done for the Client (‘you’) by Clare Black Editing (‘me’/‘I’).
2 You are under no obligation to offer me work; neither am I under any obligation to accept work offered by you.
3 I will provide service(s) as mutually agreed, confirmed in writing by you.
4 The work will be carried out unsupervised at such times and places as determined by me, using my own equipment.
5 I confirm that I am self-employed, am responsible for my own income tax and National Insurance contributions, am not registered for VAT and will not claim benefits granted to your employees.
6 I agree to attend your or other premises for necessary meetings, the time spent and agreed reasonable expenses incurred to be reimbursed by you.
7 You will reimburse me for agreed reasonable expenses over and above usual expenses incurred in the process of editorial work.
8 You will pay me a fee per hour OR per 1000 words OR an agreed flat fee for the job.
9 I may ask you to pay a deposit to secure your booking in my schedule. This is non-refundable unless I cancel the booking.
10 If I do request a deposit from you, I will issue an invoice to be paid upon receipt to secure your booking. Work will not commence until this invoice has been paid.
11 If you cancel your booking within the 48 hours prior to me commencing work on your project, I reserve the right to make a charge of up to 50% of the fee agreed for the project, less any deposit that has been paid.
12 If you cancel your booking once I have commenced work on your project, I will make a pro-rata charge for the work I have completed, less any deposit that has been paid.
13 The completed work will be delivered on or before the date agreed, for the agreed fee, which will be based on the description of the work required and the brief, both supplied by you.
14 If, however, on receipt of the item to be worked on or at an early stage, it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief, I may renegotiate the fee and/or the deadline.
15 Similarly, if, during the term of my work, additional tasks are requested by you, I may renegotiate the fee and/or the deadline.
16 If the project is lengthy, I may invoice periodically for completed stages.
17 Any content created by me as part of the copyediting/proofreading process will become the copyright of you, unless otherwise agreed.
18 The nature and content of the work will be kept confidential and not made known to anyone other than you and your contractors without prior written permission.
19 I guarantee that any work that I subcontract on behalf of you will be completed to the same standard, schedule and budget and with the same conditions of confidentiality. Please note that I will only subcontract work in the case of serious illness or a domestic emergency, and with your consent.
20 Unless agreed otherwise at the outset, payment should be made within 14 days of receipt of my invoice. If payment exceeds 30 days, I may add interest in line with the provisions of the Late Payment of Commercial Debts (Interest) Act 1998 (amended 2002 and 2013).
21 The information that you and I may keep on record is covered by the terms of the General Data Protection Regulation. No more such information will be held than is necessary, at any time, to comply with those terms and with any compliance statement or privacy policy published by you and/or me. Both you and I agree that, where consent is required to hold or process such data, such consent has been requested and obtained and both facts can be demonstrated. Either may view the other’s records to ensure that they are relevant, correct and up to date.
22 Both you and I have the right to terminate a contract for services if there is a serious breach of its terms.
23 If I have made a substantial contribution to the copyediting and/or proofreading of the work, I am entitled to receive one free copy of the work.
24 I may use your name in my promotional material.
25 This agreement is subject to the laws of England and Wales, and both you and I agree to submit to the jurisdiction of the English and Welsh courts
