terms and conditions
terms and conditions
These terms and conditions apply to any work done for the Client (‘you’) by Clare Black Editing (‘me’/‘I’).
You are under no obligation to offer me work; neither am I under any obligation to accept work offered by you.
I will provide service(s) as mutually agreed, confirmed in writing by you.
The work will be carried out unsupervised at such times and places as determined by me, using my own equipment.
I confirm that I am self-employed, am responsible for my own income tax and National Insurance contributions, am not registered for VAT and will not claim benefits granted to your employees.
I agree to attend your or other premises for necessary meetings, the time spent and agreed reasonable expenses incurred to be reimbursed by you.
You will reimburse me for agreed reasonable expenses over and above usual expenses incurred in the process of editorial work.
You will pay me a fee per hour OR per 1000 words OR an agreed flat fee for the job.
I may ask you to pay a deposit to secure your booking in my schedule. This is non-refundable unless I cancel the booking.
If I do request a deposit from you, I will issue an invoice to be paid upon receipt to secure your booking. Work will not commence until this invoice has been paid.
If you cancel your booking within the 48 hours prior to me commencing work on your project, I reserve the right to make a charge of up to 50% of the fee agreed for the project, less any deposit that has been paid.
If you cancel your booking once I have commenced work on your project, I will make a pro-rata charge for the work I have completed, less any deposit that has been paid.
The completed work will be delivered on or before the date agreed, for the agreed fee, which will be based on the description of the work required and the brief, both supplied by you.
If, however, on receipt of the item to be worked on or at an early stage, it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief, I may renegotiate the fee and/or the deadline.
Similarly, if, during the term of my work, additional tasks are requested by you, I may renegotiate the fee and/or the deadline.
If the project is lengthy, I may invoice periodically for completed stages.
Any content created by me as part of the copyediting/proofreading process will become the copyright of you, unless otherwise agreed.
The nature and content of the work will be kept confidential and not made known to anyone other than you and your contractors without prior written permission.
I guarantee that any work that I subcontract on behalf of you will be completed to the same standard, schedule and budget and with the same conditions of confidentiality. Please note that I will only subcontract work in the case of serious illness or a domestic emergency, and with your consent.
If my work is unsatisfactory, I will rectify it in my own time and at my own expense.
Unless agreed otherwise at the outset, payment should be made within 14 days of receipt of my invoice. If payment exceeds 30 days, I may add interest in line with the provisions of the Late Payment of Commercial Debts (Interest) Act 1998 (amended 2002 and 2013).
Both you and I have the right to terminate a contract for services if there is a serious breach of its terms.
If I have made a substantial contribution to the copyediting and/or proofreading of the work, I am entitled to receive one free copy of the work.
I may use your name in my promotional material.
This agreement is subject to the laws of England and Wales, and both you and I agree to submit to the jurisdiction of the English and Welsh courts
Points 27-43 below apply to proofreading for students.
It is your responsibility to check the proofreading policy and guidelines for your university or college.
You must have the permission of your supervisor to use the services of a proofreader. You must provide the contact details for your supervisor before I accept your booking.
If your university or college has rules that proofreaders must follow, it is your responsibility to send me a copy.
I will only work on your complete thesis or dissertation and will not work on a part-by-part basis. This is to ensure consistency throughout.
I will check your text for spelling, grammar and punctuation errors, incorrect word use and any repetition of words.
I will highlight any other issues in the text that I feel you need to address.
I will check the formatting of citations and references by prior agreement, which will incur an additional charge.
I will not rewrite your work nor make it sound more academic.
I will not make any changes that substantially change the content.
I will not check facts and accuracy of information.
I will not make any changes in order to increase or reduce the word count.
I will not check references and citations against their source.
I will not take on responsibility for making the final decision on any changes to your text. You are ultimately responsible for the work that is to be submitted.
I use track changes in Microsoft Word to make any amendments, which means that you can choose whether to accept or reject my suggested changes.
You must maintain ownership of corrections and make the final decision on if and how to change the original text.
It is your responsibility to ensure that you submit the text for proofreading well in advance of the submission deadline. Please remember that you will need time to consider my suggested changes. I cannot accept responsibility for any missed deadlines.
If the final mark awarded is lower than you expected, I cannot accept any responsibility.
